Why does Tata Trusts oppose a Tata Sons stock market listing, and why is RBI regulation pushing Tata Sons toward one?
Tata Sons is the principal holding company of the Tata Group and was classified by the Reserve Bank of India as an Upper Layer NBFC. Under RBI's scale-based regulatory framework, an Upper Layer NBFC generally has to pursue listing within the prescribed timeline.
Tata Sons, however, has been trying to remain privately held. The company significantly reduced its debt and sought to surrender its NBFC registration, a move that could have changed the regulatory requirements applicable to it. Reports say the RBI rejected this request.
The other major factor is Tata Trusts, which collectively owns around 66% of Tata Sons. A stock-market listing would bring greater public disclosures, additional governance requirements and outside shareholders into Tata Sons.
Tata Trusts has concerns about how such a change could affect the long-standing ownership and governance structure of the Tata Group.
However, a Tata Sons IPO is not final yet. The group is still examining its regulatory and legal options.
